01Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the TAGS Compounds website (the "Site") and your purchase of any products offered through it (the "Products"). By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms, our Privacy Policy, and our Research Disclaimer. If you do not agree, do not use the Site.

We may revise these Terms at any time by posting an updated version. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

02Eligibility

To access the Site and purchase Products, you represent and warrant that:

• You are at least 21 years of age;
• You are a qualified researcher, laboratory, educational institution, or business legally permitted to purchase research compounds;
• You are purchasing the Products solely for lawful in-vitro laboratory research and not for any prohibited use described in our Research Disclaimer;
• All information you provide is accurate and complete, and you are authorized to use any payment and shipping details you submit.

03Research Use Only

All Products are supplied strictly for laboratory and research use only. They are not for human or animal consumption and are not drugs, supplements, cosmetics, or medical devices. Your purchase and use of the Products is subject in full to our Research Disclaimer, which is incorporated into these Terms by reference. You are solely responsible for ensuring your purchase and use of the Products is lawful in your jurisdiction.

04Accounts

Certain features, including checkout, require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are associated with fraudulent or unlawful activity.

05Orders & Payment

When you place an order, you submit an offer to purchase the Products in your cart. All orders are subject to acceptance and availability. We do not process payment through the Site at the time of checkout.

How payment works

After you place an order, it is recorded with a pending status and our team will contact you by email at the address on your account with payment instructions. Your order is confirmed and prepared for shipment only after payment is received and verified. We reserve the right to refuse, cancel, or limit any order at our discretion, including where we suspect error, fraud, or a violation of these Terms.

Prices are displayed in U.S. dollars and are subject to change without notice. You are responsible for any applicable taxes, duties, or import fees not stated at checkout.

06Shipping & Risk of Loss

We ship to the address you provide once payment is confirmed. You are responsible for providing a complete and accurate shipping address and for ensuring the Products may lawfully be received at that address. Title and risk of loss pass to you upon delivery to the carrier. Estimated delivery times are provided in good faith but are not guaranteed.

07Returns & Cancellations

Because the Products are sensitive research materials, all sales are final once an order has shipped, and we cannot accept returns of shipped Products. If a Product arrives damaged, defective, or materially not as described, contact us within 7 days of delivery and we will work with you in good faith to resolve the issue, which may include a replacement or refund at our discretion. Orders that have not yet shipped may be cancelled by contacting us before payment is processed.

08Acceptable Use

You agree not to:

• Use the Products for any purpose prohibited by our Research Disclaimer or by law;
• Resell, repackage, or redistribute the Products for human or animal consumption;
• Access the Site by automated means, or attempt to disrupt, probe, or gain unauthorized access to the Site or its systems;

• Use the Site or Products in violation of any applicable law or regulation.

09Intellectual Property

The Site and its content — including text, graphics, logos, product data, and design — are owned by or licensed to TAGS Compounds and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Site without our prior written permission.

10Disclaimer of Warranties

The Site and Products are provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except that Products conform to the purity and identity specifications stated for each Product. We do not warrant that the Site will be uninterrupted, secure, or error-free.

11Limitation of Liability

To the fullest extent permitted by law, TAGS Compounds and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Site or Products. Our total liability for any claim relating to a Product will not exceed the amount you paid for that Product.

12Indemnification

You agree to indemnify and hold harmless TAGS Compounds and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site or Products, your violation of these Terms, or your violation of any law or the rights of any third party — including any use of the Products in violation of our Research Disclaimer.

13Governing Law & Disputes

These Terms are governed by the laws of the United States and the state in which TAGS Compounds is established, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Products will be resolved in the courts located in that state, and you consent to their jurisdiction.
